  本租賃合同由下述雙方於 年 月 日於中華人民共和國北京市簽訂:

  This lease agreement, dated the [ ] day of ,2007, Signed in Beijing, People‘s Republic of China by the following parties.

  一、 出租人: 以下簡稱“甲方”

  Landlord:hereinafter referred to as Party A

  二、 承租人: 以下簡稱“乙方”

  Tenant: hereinafter referred to as Party B

  三、 承租區域:

  Premises:

  甲方為光華路SOHO【 】單元以下簡稱“房屋”合法擁有者,建築面積為【 】平方米,甲方同意將房屋及內部設施在良好狀態下租給乙方,只可作為辦公用途。

  Party A hereby represents that it is the legal owner of the 【 】Apartment, guang hua lu SOHO hereinafter “the Premises”, which construction area is 【 】square meters, and agrees that it will lease the Premises and the facilities therein, which are in clean and tenantable condition to Party B for use as offices only.

  四、 租賃期:

  Lease Term:

  4.1 租賃期為【 】年,自 年 月 日至 年 月 日。

  The term of this Lease Agreement shall be for a period of【 】 years commencing from 【 】until 【 】。

  4.2 租期屆滿,甲方有權收回全部房屋,乙方應在租期屆滿日或之前,以甲方交付時狀態或雙方共同認可的狀態將房屋完好交還甲方。

  Upon expiry of this lease, Party A has the right to take back the entire Premises , and Party B shall return the Premises on or prior to the date of expiry in the same condition as it is delivered or the other condition the parties agree to Party B by Party A .

  4.3 租期屆滿,乙方如要求續租,應在本合同期限屆滿前兩個月提出書面申請,取得甲方同意後,甲、乙雙方須另行簽署租賃協議。

  If Party B wishes to renew the lease, party B shall submit a written application to Party A two months prior to the expiry of this lease, and a lease agreement shall be concluded between the parties separately subject to Party A‘s consent.

  五、 免租期含裝修期

  Grace Period including the decoration period

  免租期為【 】天,自 年 月 日起至 年 月 日止。乙方在免租期內免付租金。

  六、 租金和其它費用:

  Rent and other charges:

  6.1 租金:房屋租金以每月每平方米建築面積【 】元人民幣計算,建築面積為【 】平方米,計每月租金為【 】元人民幣,租金包含物業管理費、供暖費,甲方按合同金額開具稅務發票,相關稅費由【 】方承擔。

  The rent is RMB【 】per square meterconstruction area per month. Party A shall issue an official tax receipt for the price hereunder. The taxes shall be born by Party【 】。

  6.2電話:

  Telephone Service:

  電話號碼由乙方自行申請,電話費按電信局的收費標準, 每月按實際通話次數/時間結算,乙方按單繳付。

  The telephone number shall be applied by Party B and the call charge shall be paid in accordance with the rate of the telecommunication authority. Party B shall pay the call charge actually incurred each month.

  6.3其它費用:

  Other charges:

  在租賃期內,乙方承租單元所用的電由大廈的物業管理機構每月按實際耗用量結算,乙方按單繳付。免租期內承租單元所用的電費由乙方支付。

  During the lease term, the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period

  七、支付方式:

  Payment:

  7.1 租金應按 預付,免租期屆滿後,乙方於應付款月的第【 】號前向甲方支付下期租金。

  7.2 其他各項費用:包括但不限於水費、電費由乙方按大廈物業管理機構每月提供的交費通知單按時交付。

  Miscellaneous charges: Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.

  八、幣種和帳戶:

  Currency and Account:

  乙方應按甲方指定的帳戶支付本合同項下所有的到期款項,所有付款以人民幣計算,以人民幣支付。

  Party B shall pay the rent and all other amounts due and payable in RMB to the account designated by Party A.

  九、保證金:

  Deposit:

  9.1 自本合同簽訂之日起 日內,乙方應向甲方繳付相當於【 】個月的租金計人民幣【 】元作為保證金及首期租金人民幣【 】元,共計人民幣【 】元。

  Within【 】days after the execution of this Lease Agreement, Party B shall pay to Party A a deposit in the amount of【 】-month rent and the first rent RMB【 】 , totaling RMB【 】。

  9.2本合同期滿,如本合同不續租,甲方應在期滿後三十30天內返還保證金不計利息如乙方因違約而導致違約金、賠償金、費用和/或乙方尚未支付任何應付款項,甲方可從保證金中扣除此類違約金、賠償金、費用和/或未付款項。

  Upon expiration of the Lease Agreement, if the Lease Agreement is not to be renewed, Party A shall refund the deposit without interest to Party B within thirty 30 days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay, Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.

  9.3在本合同期限內,如有任何應由乙方支付的違約金、賠償金、費用和/或其他應付款項,甲方可直接從保證金中予以扣除,乙方應在接到甲方書面通知後五5天內補足該部分保證金。

  During the lease term, if there is any default penalty, compensation or expense and/or any other due amount that shall be paid by Party B, Party A may deduct such amount from the deposit and Party B shall, within five 5 days after Party A so notifies.

  十、大廈及承租區域的交付狀態:

  The state of the Premises when delivery :

  甲方按現狀交樓,具備辦公條件。

  Party A will deliver the Premises at as-it-is basis, which satisfies the conditions as office.

  十一、甲方的權利義務:

  Party A‘S RIGHTS AND RESPONSIBILITES:

  11.1甲方在本租賃合同規定的期限內將房屋交付乙方。

  Party A shall deliver the Premises to Party B within the term specified herein.

  11.2甲方保證是房屋的合法權利人,有充分的權利出租房屋。

  Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.

  11.3甲方的權利保留Party A may reserve the following rights.

  11.3.1 使用公共設施;to use the public facilities;

  11.3.2 進入房屋內對公共設施進行檢查和維修。甲方行使該項權利時,應提前通知乙方,緊急情況除外。

  to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.

  11.3.3 在發出通知後緊急情況除外,有權暫停大廈設施進行維修和維護,可能導致水電的中斷。甲方無需為此承擔責任。

  To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice except under emergency without any liability thereof.

  11.4 甲方應協助提供乙方提供辦理工商營業執照所需相關證明檔案。

  Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.

  11.5甲方在承租期內促使物業管理機構提供水、電、空調、供暖及日常房屋維修。

  Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lease period.

  11.6 如在租賃期屆滿前兩個月,乙方未提出續租請求,或者雖然提出續租請求,但雙方在三十天內未就續租合同條款達成一致,甲方有權在工作時間帶領其他租戶進入房屋檢視。

  If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premises with other tenant at work hours to review.

  十二、乙方的權利和義務

  Party B‘S RIGHTS AND RESPONSIBILITES:

  12.1 自行負責房屋的裝修和設施。

  Party B shall be responsible for the decoration and facilities of the Premises.

  除非經消防局及甲方同意,乙方不得對房屋的主要結構及裝置包括煙感器及噴淋頭作任何變動、拆除或調整。如乙方擅自做任何變動,應負責將其恢復原狀並承擔一切費用和相關責任。

  Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all expenses and related liabilities.

  12.2乙方應根據本合同第六、七、八條的規定按時繳納租金及各項相關費用。

  Party B shall pay the rent and other fees pursuant to Clauses 6, 7, and 8 on time.

  12.3乙方應按本合同的規定合理使用房屋,並保持房屋的清潔。

  Party B shall reasonably use the Premises as provided hereunder and keep it clean.

  12.4未得到甲方及大廈管理機構的事先同意,乙方不得在窗外、外牆、

  公共走廊牆面、電梯間及其它共用區域懸掛、張貼、附置或以其它方式放置任何廣告、標識、招貼或其它資料。

  Party B shall not hang, affix, or display any advertisement, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior consents of Party A and Management Department.

  12.5 乙方在承租期內不得將全部或部分房屋轉租、分租或借予第三方。

  During the lease term , Party B shall not sub-let or assign the lease to any third party.

  12.6 乙方在其經營活動中,不得宣稱或令顧客誤認為其與甲方關係屬合作、合營、合夥、聯營或關聯企業關係。

  Party B shall not represent or otherwise mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.

  12.7乙方應自行獲取依據法律法規和政府有關部門規定應具備的所有許可、批准和證照,保證其營業活動的合法性。

  Party B shall be responsible for obtaining all approvals, consents and licenses required by laws to ensure that its operation is legal.

  12.8乙方應自行承擔由於乙方工商註冊、稅務登記、遷址等行為所產生的稅、費。

  Party B shall be responsible for any and all taxes, fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.

  12.9對於第三方因乙方對其造成或在房屋內發生的人身傷害或經濟損失而提出的索賠,乙方應自行負責並保證甲方免於此類索賠。如甲方因此類索賠而遭受損失,乙方保證進行賠償。

  Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.

  12.10乙方不得在房屋內放置易燃、易爆的物品其他危險物品。

  Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.

  12.11乙方應嚴格遵守甲方和/或大廈物業管理機構制定並不時修改的大廈所有管理規定。

  Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.

  12.12 乙方不得在房屋內從事任何違法活動。

  Party B shall not carry out any illegal activity in the Premises.

  12.13乙方不得將房屋用於除辦公以外的用途。

  Party B shall not use the Premises for any purpose other than as office.

  12.14若乙方以租賃房屋作為其公司註冊地址時,乙方應在租賃合同終止後15日內辦理地址登出登記手續,乙方逾期辦理的,應每日按月租金千分之三的標準向甲方支付滯納金,造成甲方損失的,應予以賠償。

  If the Premises is used as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.

  十三、違約責任與合同終止

  BREACH AND TERMINATION

  13.1違約

  任何一方違反合同給另一方造成損失的,應當進行賠償。

  If a party is in breach of this Lease Agreement, it shall compensate the other party for any losses cause by its breach.

  13.2在下列任何情況下,本合同終止

  This Lease Agreement will be terminated under any of the following conditions:

  13.2.1租賃期限屆滿:

  The expiration of this Lease Agreement

  13.2.2 當一方違反本合同中任何規定,並且另一方書面通知要求其予以糾正的三十30日內未能糾正違約行為或者如果該違約是無法糾正的,守約方有權立即終止本合同。

  by one of the Parties, with immediate effect, when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty 30 days after the party not in breach sends a written notice requesting the cure of such breach;

  13.2.3甲方可以提前六十60天的書面通知提前終止本合同,但應雙倍返還乙方保證金。

  Party A may terminate this Lease Agreement with a sixty 60 day prior written notice provided that it shall refund the deposit in double amount.

  13.2.4如乙方延期支付租金和/或其他各項款項超過十10日,甲方有權解除合同,保證金不予退還。乙方除應支付延期款項外,還應支付逾期付款違約金,數額延期支付金額的0.5%/日,直至乙方全額付清為止。

  If Party B delays the payment of rent and/or other amounts for ten 10 days, Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of 0.5% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.

  13.2.5 如乙方不遵守大廈管理規定並嚴重影響其他租戶正常經營,甲方可以書面通知乙方提前終止本合同,並且保證金不予返還。

  If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants, Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.

  13.2.6 如乙方在房屋內從事任何違法活動或未按照辦公用途使用房屋,甲方有權立即書面通知乙方提前終止本合同,保證金不予返還。

  If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

  13.2.7 如乙方將房屋分租或轉租第三方,甲方有權以書面通知立即終止合同,並且保證金不返還。

  If Party B sublets or assigns the lease to a third party, Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

  13.2.8 不可抗力Force Majeure

  一方因不可抗力事件連續六十天60不能履行義務,任何一方可以書面通知終止本合同,在不可抗力的影響範圍內受影響的一方不承擔違約責任。“不可抗力”包括自然災害、爆炸、飛行物體墜落、政府行為但專門針對受影響一方的行政行為除外等受影響的一方不能預見、不能控制並且不可避免的事件。雙方在此明確但商業性風險不應作為不可抗力。受影響的一方應在不可抗力事件發生後的五5日內書面通知對方,並且應附有有權機構出具的不可抗力發生的證明。

  Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty 60 days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee, control and avoid as natural disaster, explosive, falling of flying objects, government action except those specially against the affected party The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.

  13.2.9一方進入破產、清算、解散或任何類似程式,另一方可以終止本合同,但以善意管理費用或合併為目的的除外。

  One party may terminate this Lease Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.

  13. 3 合同終止的後果 The result of the termination

  13.3.1 如本合同屆滿並且未由乙方續租,乙方須於屆滿之日的17點之前騰空房屋;如本合同因任何原因提前終止,乙方應於終止日後的三日內騰空房屋。如乙方未能在此期間騰空房屋,由乙方應按日支付房租,逾期十日以上包括十日,乙方應按雙倍房租支付。如因此給甲方造成經濟損失包括因未能向下一租戶及時交付房屋而導致的違約金和租金收入,還應賠償損失。

  If this Lease Agreement is expired without the renewal of Party B, Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason, Party B shall vacant the Premises within three 3 days after the termination date. If Party B fails to vacant the Premises within the aforesaid period, it shall pay rent for each day of delay. If the delay is over ten 10 day inclusive, Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss, Party B shall compensate such loss.

  13.3.2乙方還應拆除裝修和清理房屋甲方同意保留裝修的除外,以甲方交付之時的狀態或雙方共同認可的狀態將房屋交還甲方正常損耗除外歸還房屋時留在房屋內的所有設施、裝修及物品均視為乙方放棄所有權,甲方可隨意處置。如乙方未將房屋恢復原狀,甲方可自行恢復原狀,乙方需支付全部費用,可由甲方從保證金中扣除。

If Party B fails to restore the Premises to the condition of delivery, Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof, which may be deducted from the deposit by Party A.

  13.3.3除因乙方違約造成合同終止的情況以及本合同有不同規定的情況以外,甲方應將保證金返還乙方。

  Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.

  13.3.4 乙方應支付全部應付費用,包括房租、水電費、電話費等。

  Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.

  13.3.5 雙方應按下列程式進行交接房屋。

  The parties shall take over the Premises in accordance with the following procedure.

  十四、附則

  14.1 爭議的解決 Dispute Resolution

  因執行本合同或與本合同有關的一切爭議,雙方應通過友好協商解決。協商不成的,則任何一方有權將爭議提交北京仲裁委員會仲裁裁決。仲裁程式應遵照仲裁委員會的現行仲裁規則進行。仲裁期間,雙方應繼續執行本合同不涉及爭議的部分。

  Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lease Agreement not under dispute.

  14.2 合同的修改The amendment of this Lease Agreement

  對本合同只可通過雙方書面修改。

  This Lease Agreement may be changed only by a written instrument signed by parties.

  14.3 可分性 Severability

  本合同任何條款無效,不影響其他條款的效力。

  The invalidity of any part of this Lease Agreement shall not affect the validity of other clauses.

  14.4 文字

  本合同以中文簽署。英文文字只做參考,不具有法律效力。

  This Lease Agreement shall be wrote in Chinese. The English version is only for reference without legal effect.

  14.5 全部協議 Entire Agreement

  本合同有其附件構成雙方之間就本合同所涉事項達成的全部協議,取代雙方此前就合同事項達成的所有口頭和書面協議。

  This Lease Agreement constitutes the entire contract between the Parties with respect to the subject matter of this Lease Agreement and supersedes all prior understandings between them on such subject matter.

  14.6 通知 Notice

  任何一方根據本合同發出的通知或其他聯絡應以中文書寫並應通過專人送遞或掛號郵寄或以公認的快遞服務或以傳真應當有傳送成功的報告發送至另一方的下述地址。通知視為有效送達的日期按以下方法予以確定:

  Any notice provided for in this Lease Agreement shall be in Chinese and shall be delivered by person, or sent by prepaid registered mail or courier, or sent by facsimile with the confirmation of successful transmission by the fax machine, transmitted or addressed to the appropriate party‘s following address. The notice shall be deemed served on the following date:

  14.6.1專人投遞的通知,視為於投遞之日送達;

  On the date of delivery if send by person;

  14.6.2 以掛號郵寄的通知,視為於投郵日郵戳日期後第十10天送達;

  On 10th day after stamp on the registered mail if send by Registered mail;

  14.6.3快遞送達的通知,視為公認的快遞服務機構發出後第三3天送達;On third day after the pick up by the courier if send by courier;

  14. 傳真傳送的能知,應視作於傳送日後下一1個營業日送達。

  If send by facsimile, on the next working day after the transmission date.

  14.6.5如任何一方更改以上地址,需提前三十30 天書面通知另一方,該更改方生效。

  If either party wishes to change the above addresses, it shall notify the other party of such change thirty 30 days in advance in order that such change will be effective.

  This Lease has been mutual agreed and set up by THE LESSOR and THE LESSEE complying with The Lease or Rent Contract Law Of The People"s Republic Of China and related regulations provided by the Tianjin government.

  2.3:Any delayed of the rental shall be charged 0.2% of the monthly rental day by day as a penalty. Delayed payment more than 7 days shall be regarded as a breach of the contract, THE LESSOR shall have the right to take back the premises after a prior written notice to THE

  LESSEE, and THE LESSEE shall bear all the responsibilities caused by such breach.

  乙方如逾期支付租金,每逾期一天,則乙方需按月租金的0.2%支付滯納金,欠交租金超過七天,視同違約,甲方有權收回房屋,並由乙方承擔一切違約責任。

  2.4:Rental is to be paid in cash in RMB YUAN.THE LESSOR will make out receipt. 租金以人民幣支付,甲方出具收據。

  3: 押金Deposit:

  3.1:At the time of signing of the contract, a deposit of months" equivalent rental RMB ______shall be paid by THE LESSEE in cash. 簽約時,承租人須支付相當於月房租的押金,即人民幣元整。該押金不得衝抵房款。

  3.2:The deposit shall be refundable after its expiration or early termination with same currency and with no interest thereupon , providing all furnishings, contents and rental property are not subject to any loss of unusual damage, and all the various bills have been duly settled. 在合同到期或解約後, 甲方在乙方不拖欠任何費用和保持室內設施完好的情況下即返還押金。

  4:租期Lease term:

  4.1:From the date____ to_____ for continuous_________ months. If residence is overstayed, one monthrent is due to lessor, even if oversay is less than one month.

  乙方租用該房期限為 個月,即自 年 月 日至年 月 日止。超過該租期,不足一個月按一個月計算。

  4.2:No early termination either by THE LESSOR or by THE LESSEE is allowed during the lease period, Otherwise, one month rental penalty for such early termination shall be paid to the counter party.

  在租賃合同期內,甲乙雙方任何一方未經對方同意中途擅自解除合同的,應向對方支付一個月的房租作為違約金。

  4.3:At its expiration ,with a must of 30 days prior written notice to THE LESSOR, THE LESSEE retains his priority to renew this lease.THE LESSOR shall also inform THE LESSEE 30 days in advance whether the rental will be adjusted. If the occupants decide not to renewlease within THE LESSEE"s term, THE LESSEE shall give a prior written notice to THE LESSOR.. 本合同期滿時,乙方有優先續租權,但須提前30天給予甲方書面通知,取得甲方的同意,並簽訂續租合同。甲方亦須在30天前通知乙方是否變動租金。

  4.4: If Force Majeure such as earthquake, typhoon, flood, non-man-made fire, government order etc.cause to terminating the contract, THE LESSEE and THE LESSOR should be free of duty.

  因洪水、地震、或政府拆遷、徵用等不可抗力原因,造成雙方不得不中止合同,雙方不承擔違約責任,按實際天數計算房租。

  4.5:In case that the property ownership is transferred during the lease, THE LESSEE has the right to continue to use the said premises according to the contract without any disturbance from THE LESSOR or any the third party.

  在租賃期間,甲方的房屋所有權發生轉移,乙方有權繼續主張本合同的權利和義務,甲方及第三方不能損害乙方的權利和義務。

  5:Lease Term租賃條件:

  5.1: These premises are limited of residential use only by THE LESSEE, and are prohibited from registering as legal address for any company or agency, or using as public office. 乙方不得將該房屋用作公司或代表處的註冊地址。

  5.2:THE LESSEE shall not carry in the premises any unlawful of illegal activities which are not allowed according to China laws and the leasing regulations of the government. Otherwise, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE.

  乙方不得在出租房屋內進行違反中國法律及政府對出租房屋用途有關規定的行為,否則甲方有權在書面通知乙方後收回房屋。

  5.3:THE LESSEE shall not partly or totally sublet, sell, lend, mortgage, exchange, exchange the said premises or use it so as to raise any joint-venture or become a certain shareholder without the written permission from THE LESSOR. Otherwise, THE LESSOR can terminate the contract and confiscate the deposit. THE LESSEE and the third party shall return the property unconditionally to THE LESSOR. THE LESSEE shall bear all the responsibilities caused herefrom.

  未經甲方書面同意,乙方不得將出租房屋轉租、分租、轉讓、轉借、聯營、入股、抵押或與他人調劑交換使用,否則甲方有權終止合同並

  沒收押金。乙方及第三方必須無條件退還出租房,且由乙方承擔一切違約責任。

  5.4:THE LESSEE should pay in time the water, gas, electricity , heating fee, the Tel-Bills, TV receiving , managing fee and the lease related invoice taxes on actual user basis. Delayed payment more than 15 days shall be regarded as a breach of the contract, THE LESSOR shall have the right to take back the premises after a prior written notice to THE LESSEE, and THE LESSEE shall bear all the responsibilities caused by such breach.

  乙方應按時支付因租用該出租房屋而產生的有關費用,包括:水費、電費、煤氣費、暖氣費、存車費、電話費和有線電視收視費、物業管

  理費、發票稅金等費用。如經甲方催促,乙方仍欠交費用,超過15天,甲方有權收回房屋,並由乙方承擔一切違約責任。

  5.5:The damage of the premises or the fittings that is within the control of THE LESSEE shall be borne by THE LESSEE,

  and THE LESSEE shall contact the management office or THE LESSOR instantly. If THE LESSEE refuses to compensate or to contact the management office to repair, THE LESSOR shall have the right to repair and charge the cost from THE LESSEE. The cost of repairs to the said premises, if damaged by Force Majeure such as earthquake, typhoon, flood, non-man-made fire, etc., reasonable wear and tear or by accidents beyond THE LESSEE"s control, should be borne by THE LESSOR.

  因乙方使 用不當,房屋及其內的設施出現損壞,乙方應及時聯絡管理機構進行維修,並負擔有關維修費用。若乙方拒不維修或賠償,甲方有權代為維修,維修所需費用由乙方承擔;但由於不可抗力,如地震、颱風、洪水、非人為的火災等,自然損耗或乙方以外的原因造成的損壞,由甲方承擔有關費用。

  5.6:THE LESSEE, upon written permission of THE LESSOR, may make additions or alterations dealing with water, electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of THE LESSOR. No structural alterations can be removed from the premises, upon expiration or termination of this contract. No reimbursement for said additions, and any structural damage to the premises must be repaired or compensated by THE LESSEE.

  租賃期內,乙方對出租房屋進行裝修或增加設施須徵得甲方同意並經政府有關部門批准,並由甲方執行監理,所需費用由乙方承擔。雙方解約時,乙方不能移走自行新增的結構性設施,甲方亦不必對上述新增設施進行補償。如損壞原有之設施,由乙方負責修復或賠償。

  5.7:THE LESSEE shall obey the regulations made by the management office such as not to litter or take any private use of public area and etc.

  租用房屋之內部衛生,設施保養、維護均由乙方負責。乙方不得佔用公共場所及通道作任何用途。

  5.8:THE LESSEE shall have the right to move in after paying off the deposit and the first term of rental.

  乙方在付清押金,首期租金後即可入住。

  5.9:In case there is a cut of water, power or any other hitch which is caused by the accident beyond the control of THE LESSEE, THE LESSOR shall take the responsibility to assist and push the authorities concerned to repair and resume it as soon as possible.若由於甲方以外原因導致出租房屋停水,停電或其他故障,甲方有義務敦促並協助有關部門搶修,使之儘快得以恢復。

  5.10:THE LESSEE shall not store in or out of the premises any inflammable or dangerous thing, nor let any corrosive or dirty thing come out of the premises.

  乙方須做好安全及防火工作,不得在房屋內外儲存或排放有害,腐蝕性或汙臭物質,嚴禁儲存易燃,易爆品。

  5.11:Insurance: THE LESSOR will retain insurance on his property and belongings, and THE LESSEE will be responsible for his own property brought into or kept in proximity of the premises. If there is anything lost, THE LESSOR shall assist to conduct investigations, but has no responsibility to compensate it.

  乙方須負責好自己帶來的財物,妥善保管,如有意外,甲方可協助調查,但不負責賠償。

  5.12:THE LESSEE shall return the property intact to THE LESSOR at the expiration of the contract if there is no renewal thereupon. THE LESSOR shall have the right to take any effective measures to take back the premises in case that THE LESSEE refuses to move out at the expiration of the contract.

  租賃期滿,若甲、乙雙方未達成續租協議,乙方應於租期屆滿時或之前遷離出租房屋並將鑰匙及房屋按租用時之狀況歸還甲方。若乙方逾期不遷離或不歸還出租房屋,則甲方有權採取有效措施收回出租房屋並另行處理。

  5.13:THE LESSOR or his nominees, with the pre-notice and consent to THE LESSEE, shall have the right to inspect or repair the premises at any reasonable time except for emergency. If THE LESSEE had any trouble ,which was foreign to THE LESSOR ,with the third party。在雙方合同期間或解除合同後,乙方與第三方的任何糾紛都與甲方無關,乙方應自行解決。

  6:Other conditions其它條件:

  6.1:Three copies of the lease will be drawn, and remain in the possession of THE LESSOR , THE LESSEE and THE WITNESS. 本合同一式三份,甲、乙雙方各持一份,見證方一份,具有同等法律效力。

  6.3:The contract is drawn in both Chinese and English versions. Chinese versions will have validity finally in law. The contract shall come into force on the date that the lessor receives the deposit and the frist term of rental.

  本合同為中英文版本,中英文具有同等效力。發生爭議,以中文為最終解釋。本合同自出租人收到首期房租和押金後生效。

  :The appendixProperty list is an indivisible part of this contract.合同的附件是本合同不可分割的組成部分。
